Policy and governance

Every rupee that lands in Dholera lands on a legal structure. This is that structure, in plain language, with tiers and dates.

Dholera SIR exists because of the Gujarat Special Investment Region Act, 2009: the legal machinery that lets a state build a greenfield industrial city with its own development authority and land pooling via town planning schemes.

Who actually runs Dholera

Two bodies, cleanly split. DSIRDA, the Dholera Special Investment Region Development Authority, is the planning and land authority. DICDL, Dholera Industrial City Development Ltd, is the SPV that builds and operates infrastructure, formed 28 January 2016 and owned 51 percent by Gujarat through DSIRDA and 49 percent by the Centre through the NICDC Trust DURABLE. When a company negotiates land or utilities, that structure is the counterparty map. The short version is on the answer desk.

The land machine

The planning envelope is 920 sq km, of which about 580 sq km is developable and about 422 sq km urban-developable, phased over roughly three decades DURABLE as planning figures. Six town planning schemes are sanctioned; Phase I concentrates on TP1 and TP2, about 153 sq km, and the Activation Area of about 22.5 sq km is where trunk infrastructure landed first. The practical point for a business reader: Dholera's land comes through TP schemes with government-issued final plots, a fundamentally different supply mechanism from the private assembly that plagues most Indian industrial siting.

The numbers a CFO checks

  • Stamp duty: 4.9 percent plus 1 percent registration in Gujarat DURABLE.
  • SEZ status: the Tata Semiconductor SEZ was notified around April 2026 on 66.16 hectares DURABLE, carrying the SEZ regime's duty and compliance implications.
  • NRI rule: NRIs and OCIs can buy residential and commercial property but not agricultural land DURABLE.
  • Semiconductor incentives: the India Semiconductor Mission's fiscal support, evidenced concretely by the Tata Fiscal Support Agreement signed 5 March 2025 DURABLE.

What a Special Investment Region actually is

A Special Investment Region is a statutory device, not a marketing label: it lifts a defined block of territory out of the ordinary planning hierarchy and hands it to a purpose-built authority. Under the Gujarat special investment region legislation the state notifies a region, constitutes a development authority for it, and vests in it powers that would otherwise sit with panchayats and municipalities: preparing a development plan, fixing land use, granting or refusing development permission, and levying the charges that pay for the plan. Dholera was declared on 22 May 2009 and covers 22 villages of Dholera taluka DURABLE.

The consequence is administrative rather than fiscal, and routinely misread: being inside an SIR does not by itself grant a tax break, a duty exemption or a subsidy. What it grants is a single planning counterparty across roughly 920 sq km DURABLE, a land-use map with legal force, and the power to assemble land at scale instead of negotiating with thousands of individual owners. Every fiscal advantage comes from a separate instrument stacked on top: the customs regime of a notified SEZ, the central semiconductor mission, or a state industrial policy.

Two bodies, two mandates, two balance sheets

The division between DSIRDA and DICDL is a deliberate separation of regulatory power from commercial delivery. The authority holds the statutory functions: the development plan, the town planning schemes, development permission, and the reservation of land for public purposes. The company builds and operates trunk infrastructure and services plots, capitalised by the two governments in a 51 to 49 split through DSIRDA and the NICDC Trust respectively DURABLE. The two therefore answer to different pressures, an authority to statutory process and an SPV to capital deployed and land monetised, so an incoming company negotiates with the SPV on serviced land, utilities and works interfaces, but with the authority on permissible use and development permission.

The delivery record dated 31 May 2026 shows what that machinery has produced: 48.31 sq km transferred by Gujarat to the project, activation-area tenders structured in five packages, and 12 plots allotted of which 436 acres are industrial, with Tata Chemicals named as an anchor investor DURABLE. Industrial and commercial or residential land were both recorded as readily available for allotment as of that date DURABLE.

Twenty-seven preliminary schemes: how the land is manufactured

The town planning scheme is a land readjustment instrument rather than an acquisition instrument. Rather than buying owners out, the authority pools the original plots inside a scheme boundary, deducts a share of each holding for roads, utilities, open space, social amenities and a reserve of saleable plots, and returns what remains to the same owner as a final plot in the same locality. The deducted land becomes both the public realm and the funding source, and the owner ends up with less area but with frontage, services and a developable title.

The procedure runs in stages, and the stage a parcel has reached determines what can legally be done with it. A draft scheme fixes the intent, a preliminary scheme fixes the reconstitution and is the point at which the authority can practically take the deducted land and owners can act on their final plots, and a final scheme settles valuation and betterment charges. At Dholera, six draft town plans cover 422 sq km of the region and have been divided into 27 preliminary town planning schemes, of which 11 were recorded as under process as of March 2025, with construction initiated on 2,250 hectares DURABLE.

The pipeline of developable land is therefore a legal one before it is a construction one: what limits how much serviced land can be offered is how many preliminary schemes are sanctioned, not how fast contractors can move earth. The published record gives scheme counts and areas but not sanction dates, so no timeline for the remaining schemes should be read out of the aggregates.

The SEZ regime and why it cuts both ways

The Union Ministry of Commerce and Industry notified an SEZ for Tata Semiconductor Manufacturing Pvt Ltd at Dholera on approximately 16 April 2026, covering 66.16 hectares, for electronic hardware and software including IT and ITES DURABLE. Press coverage of the notification cited roughly 21,000 jobs REPORTED, against the 20,000 plus direct and indirect jobs stated in Tata's own 2024 release DURABLE, neither of them a commitment with a compliance mechanism attached.

The regime itself is independent of Dholera: an SEZ is treated as outside the customs territory of India for authorised operations, so capital goods, spares and consumables enter without the customs duty that would otherwise apply, and domestic suppliers can supply the zone as a zero-rated transaction. For a wafer fab that is not marginal: the tool set is almost entirely imported and carries very high unit values, and the consumable bill for gases, chemicals, targets and photoresists runs for the life of the plant.

The cost sits on the other side of the gate. Goods moving from an SEZ into the domestic tariff area are treated broadly as imports and attract the duties applicable to the finished article, and units carry an obligation to be net foreign exchange positive. A fab whose stated product mix is power management ICs and microcontrollers DURABLE faces the tension that implies: demand for those parts is substantially domestic, in automotive, appliances, metering and industrial control, while the SEZ structure is built around export performance. How much Dholera output is meant for the domestic tariff area, and on what duty treatment, is not in the public record.

The Gujarat stack, line by line

Gujarat announced the first state semiconductor policy in India on 27 July 2022, running to 2027, and built it as a multiplier rather than a standalone scheme. The state offers 40 percent of the capital assistance approved by the Government of India, so the state contribution is a function of the central sanction DURABLE. Taken purely as arithmetic on the two published headline percentages, a project drawing 50 percent central fiscal support would draw a further 20 percent of project cost from the state, which would put the combined public share near 70 percent before any operating subsidy. No such combined figure is published, and the effective number would be lower, because eligible cost definitions differ between the two schemes and neither definition is published in full.

The operating layer, for a fab located in Dholera Semicon City, reads as follows DURABLE:

  • Land: 75 percent subsidy on the first 200 acres, 50 percent on additional land.
  • Water: Rs 12 per cubic metre for five years, escalating 10 percent a year thereafter.
  • Power: a subsidy of Rs 2 per unit for 10 years, plus exemption from electricity duty.
  • Desalination: 50 percent capital subsidy on a plant commissioned within the first five years.

The water lines are the ones an engineer reads twice. A 300mm fab consumes ultrapure water continuously, with raw intake running to thousands of cubic metres a day even at high reclaim rates, and reclaim is itself capital. A tariff escalating at 10 percent compound roughly doubles inside eight years, which is the context in which the desalination capital subsidy, and the consultants tender issued on 9 July 2026 for a 200 MLD seawater plant against roughly 20 MLD of desalination capacity in place DURABLE, should be read: as policy instruments as much as engineering ones. The 200 MLD plant is at the consultant-appointment stage, not under construction.

Around the semiconductor policy sits the rest of the stack: the Gujarat Electronics Policy 2022-2028 DURABLE, the Electronics Component Manufacturing Policy of 2025 offering 100 percent matching state assistance to MeitY-approved ECMS projects DURABLE, the Viksit Gujarat Industrial Policy dated 15 June 2026 with support bands of 35 to 45 percent of investment for MSMEs, 25 to 35 percent for large units in thrust sectors, 30 to 35 percent for mega and 35 to 40 percent for ultra mega categories DURABLE, the STI Policy 2026-31 unveiled on 1 March 2026 DURABLE, and the data centre policy of 9 July 2026 carrying a 2.5 percent capital subsidy specific to Dholera SIR, a minimum qualifying IT load of 150 MW, interest subsidy up to 4 percent, a power tariff subsidy of Re 1 per unit for 20 years and full electricity duty reimbursement over the same period DURABLE. The published texts do not define the interaction rules where two of them address the same expenditure.

ISM, and what ISM 2.0 is trying to fix

The central layer is the India Semiconductor Mission, and its concrete evidence at Dholera is the Fiscal Support Agreement signed on 5 March 2025, under which the Government of India committed 50 percent fiscal support to the Tata and PSMC fab approved by the Union Cabinet on 29 February 2024 at Rs 91,000 crore DURABLE. Public support of this kind is generally structured against verified milestones rather than paid up front, which would tie the drawdown profile to the pace of civil and equipment work and not only to the production date, but the disbursement schedule in this case is not public.

The node question is narrower than most coverage implies. The stated node range for the plant is 28, 40, 55, 90 and 110nm DURABLE, so July 2026 reporting that the fab will open mostly at 90nm rather than 28nm REPORTED describes a starting point inside the stated range rather than a departure from it, with commercial production guided to mid-2028 REPORTED. Whether the Fiscal Support Agreement carries node-linked or output-linked milestones is not public.

By December 2025, 10 ISM projects had been approved across six states DURABLE, and on 5 May 2026 the Union Cabinet approved two further units, one of them Crystal Matrix Limited at Dholera, an integrated compound semiconductor facility for 72,000 sq m a year of Mini and Micro-LED display panels and 24,000 sets of RGB Mini and Micro-LED GaN epitaxy wafers DURABLE. ISM 2.0, announced in the Union Budget for 2026-27, extends the focus from finished chips to equipment and materials manufacturing and to full-stack Indian semiconductor intellectual property DURABLE.

That is the right diagnosis of the harder problem. A fab is one large capital event; the equipment and materials base underneath it is a permanent import bill and a permanent lead-time exposure, since gases, chemicals, photoresists, masks and spares are consumed continuously. The visible response at Dholera is the Rs 500 crore INOX Air Products electronic specialty gas hub, in construction since October 2025 with a 200 tonne per day air separation unit DURABLE, reported plans by Linde for a Dholera production plant, which rest on a single trade-press report REPORTED, and a Fujifilm memorandum with the Gujarat State Electronics Mission dated 30 June 2026 to explore a semiconductor materials base REPORTED. One is a construction site and two are intentions.

NICDIT, the budget line, and the limits of a corridor allocation

The National Industrial Corridor Development and Implementation Trust is the central vehicle through which corridor funding reaches node SPVs such as DICDL, and it was allocated Rs 3,000 crore under the Budget Estimates for 2026-27 DURABLE. That figure is a national corridor allocation across multiple nodes, not a Dholera line item, and it is several times smaller than single connectivity projects nearby: the Ahmedabad to Dholera semi high-speed rail line approved on 13 May 2026 carries a sanctioned cost of Rs 20,667 crore on its own DURABLE.

Trunk infrastructure inside the region sits with DICDL and its two shareholders, while the expressway, the airport company, the rail lines and the solar park sit on different balance sheets with different approving authorities and different failure modes, so a delay in one does not mechanically move the others. The Bhimnath to Dholera rail link illustrates the reporting gap: it was approved by the NICDIT Board of Trustees, and no later sanction milestone appears on the public record DURABLE, which is a statement about the documents rather than about the project.

Absorption is the metric to watch here. Economic Survey material released on 26 February 2026 recorded 350 industrial plots allotted collectively across the Phase-I corridor cities DURABLE, against 12 plots allotted at Dholera as of 31 May 2026, of which 436 acres are industrial DURABLE. The two counts are not measured on the same basis, one being industrial plots across several nodes and the other all plots at a single node, so they bound the picture rather than divide into a ratio. A very large single anchor investment sitting alongside a small allotment count is what an early-stage node with one dominant tenant looks like.

How a company actually moves through the stack

Sequenced from the outside in, land comes first, through allotment of a final plot inside a sanctioned town planning scheme, which fixes permissible use and plot conditions. Development permission from the authority follows, against the development plan. If the activity sits inside a notified SEZ, unit approval comes from the zone's approval committee, and that decision governs customs and GST treatment thereafter. Central incentive eligibility is a separate application to the Union ministry, and the state incentive in practice follows it, since the Gujarat policy is expressed as a share of the central sanction.

Running in parallel are the approvals that decide whether a plant can physically run: environmental clearance and consent to establish and operate from the state pollution control board, power connectivity and any open access arrangement, bulk water allocation, industrial gas supply, effluent and hazardous waste routing, and factory approvals. For a semiconductor plant the effluent path is most often underestimated, because process chemistry, abatement duty and the water balance are examined together.

Two caveats belong here. The published record contains no verified turnaround benchmark for any of these steps at Dholera, so any claim that approvals take a specific number of days is unsourced. And allotment rates, tenure terms and betterment charges are not published in a form this publication can independently verify, which is why no figure of that kind appears anywhere on this site.
